Frank’s International N.V. Prices Initial Public Offering

HOUSTON--(BUSINESS WIRE)--Aug. 8, 2013-- Frank’s International N.V. (the “Company”) announced today the pricing of its initial public offering of 30,000,000 shares of its common stock at $22.00 per share. The shares are expected to begin trading on the New York Stock Exchange on August 9, 2013 under the ticker symbol “FI.” The Company has granted the underwriters a 30-day option to purchase up to an additional 4,500,000 shares of the Company’s common stock. The offering is expected to close on August 14, 2013, subject to customary closing conditions.

The Company intends to use the net proceeds of approximately $618.6 million to repay in full outstanding notes payable to FWW B.V. (“FWW”), under which there was an aggregate of $415.4 million outstanding as of June 30, 2013. Following the completion of the offering, FWW will own 119,024,000 shares of the Company’s common stock, representing 58.9% of the voting power in the Company (assuming the underwriters do not exercise their option to purchase additional shares of common stock). Any remaining net proceeds will be contributed to Frank’s International C.V. (“FICV”). FICV will use such proceeds for general corporate purposes.
